1. Introduction

Welcome to sourcerightnow.com ("Platform"), operated by Sourcerightnow E-commerce Pvt Ltd ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our Platform, including any content, functionality, and subscription services offered through both the buyer and seller portals. By registering for an account, purchasing a subscription, or using the Platform in any manner, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

2. Eligibility

The Platform is available to individuals and businesses who are at least 18 years of age. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are accessing the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features of the Platform, you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) keep your account information updated; (c) maintain the confidentiality of your login credentials; and (d) accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

4. Subscription Services

The Company offers the following subscription-based products:

• Platform Subscription: An annual subscription that grants access to the core features and services of the Platform.
• Product Focus Subscription: An annual subscription that provides access to specialised product-focused features on the Platform. The Product Focus Subscription is linked to the Platform Subscription, and its validity period is aligned with the remaining duration of the active Platform Subscription at the time of purchase.

These Terms apply equally to all users of the Platform, whether accessing it through the buyer portal or the seller portal.

5. Billing, Renewal, and Cancellation

All subscriptions are billed annually. By purchasing a subscription, you authorise us to charge the applicable fee to your chosen payment method at the time of purchase and upon each annual renewal.

• Auto-Renewal: Subscriptions will automatically renew at the end of each annual billing period unless you cancel before the renewal date. We will notify you in advance of any upcoming renewal.
• Cancellation: You may cancel your subscription at any time. Upon cancellation, you will continue to have access to the subscribed services until the end of your current annual billing period. No pro-rated or partial refunds will be issued for the unused portion of the subscription, except as provided in our Refund Policy.
• Price Changes: We reserve the right to change subscription pricing. Any price change will take effect at the start of your next billing cycle, and we will notify you of such changes in advance.

6. User Obligations

As a user of the Platform, you agree to: (a) comply with all applicable local, national, and international laws and regulations; (b) use the Platform only for lawful business purposes; (c) provide accurate information in your company profile, product listings, and any other content you submit to the Platform; (d) respond to inquiries from other users in a timely and professional manner; and (e) not engage in any activity that interferes with or disrupts the Platform or its services.

7. Prohibited Activities

You may not: (a) post false, misleading, or fraudulent information on the Platform; (b) use the Platform to facilitate any illegal activity; (c) scrape, crawl, or harvest data from the Platform without our express written permission; (d) attempt to circumvent the Platform's payment systems or fee structure; (e) harass, threaten, or abuse other users; (f) upload malicious code, viruses, or any other harmful content; (g) impersonate another person or entity; or (h) use the Platform in any manner that could damage, disable, or impair the Platform or interfere with any other party's use of the Platform.

8. User Content

You may upload, submit, or post content on the Platform, including but not limited to product listings, company profiles, images, and descriptions ("User Content"). You retain ownership of your User Content. By posting User Content on the Platform, you grant us a non-exclusive, royalty-free, sublicensable, worldwide licence to use, display, reproduce, and distribute that content solely in connection with the operation and promotion of the Platform. You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not infringe any third-party rights.

9. Intellectual Property

All content, trademarks, logos, designs, and intellectual property displayed on the Platform (excluding User Content) belong to the Company or their respective owners. You may not copy, reproduce, distribute, or create derivative works from Platform content without our express written permission.

10. Disclaimer of Warranties

The Platform and its services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or reliability of any content posted by users on the Platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform or its services. Our total liability for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the total subscription fees paid by you to the Company in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of a third party.

13. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting our support team. Upon termination: (a) your right to use the Platform ceases immediately; (b) any active subscriptions will not be refunded except as provided in our Refund Policy; and (c) we may delete your account data after a reasonable retention period, subject to applicable legal requirements. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall continue to apply.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India. In the event of any conflict between these Terms and applicable local laws, the applicable local laws shall prevail to the extent of the conflict.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. We encourage you to review this page periodically.

16. Grievance Redressal

If you have any complaints or concerns regarding the Platform or its services, you may reach out to our Grievance Officer at the contact details provided below. We are committed to acknowledging all complaints within 2 business days and resolving them within 5 business days from the date of receipt.

If your complaint is not resolved to your satisfaction, you may escalate the matter to the relevant consumer forum or regulatory authority in accordance with applicable Indian law.
